CONDICIONES DE SYSTRAN TRANSLATE PRO
1. Finalidad de las Condiciones
SYSTRAN SAS desarrolla y distribuye soluciones multilingües de traducción automática disponibles en modo SaaS a través de una plataforma accesible en https://www.systransoft.comNo. Ofrece a sus clientes profesionales en el contexto de su negocio o a sus clientes individuales para sus necesidades personales, abrir una cuenta en la Plataforma que les permita acceder a las soluciones de traducción, así como a diversas herramientas de configuración y administración de la Plataforma y utilizar las funcionalidades de las soluciones.
El propósito de estas Condiciones Generales es establecer los términos y condiciones bajo los cuales SYSTRAN permite al Cliente acceder a los Servicios, así como definir los derechos y obligaciones de cada uno en este contexto.
Expresan el pleno acuerdo de las Partes y sustituyen a cualquier acuerdo previo, escrito u oral, carta, oferta u otro documento que tenga el mismo objeto.

2. Definiciones
Las Partes acuerdan que los siguientes términos tendrán el significado que se establece a continuación para la totalidad de estos Términos y Condiciones Generales:
“Cuenta” significa la cuenta personal abierta en la Plataforma para cada Usuario de los Servicios y que le permite acceder a los Servicios incluidos en la Oferta Suscrita.
“Acuerdo” significa conjuntamente la Orden, estos Términos y Condiciones Generales y cualquier enmienda firmada entre las Partes.
“API” significa la interfaz de programación puesta a disposición de los Clientes Comerciales para permitirles integrar la Plataforma en sus propias herramientas y/o aplicaciones comerciales con el fin de acceder directamente a los Servicios.
“Oferta de API” significa el paquete de suscripción ofrecido por SYSTRAN específicamente para los clientes profesionales que elijan acceder a los Servicios a través de la API. La oferta de API está disponible en: https://www.systran.net.
“Catálogo” significa el catálogo establecido por SYSTRAN, que enumera todos los Modelos producidos por SYSTRAN y/o Expertos, puestos a disposición del Cliente en la Plataforma.
“Contenido” significa que los elementos textuales del Cliente cargados en la Plataforma están sujetos a traducción como parte de los Servicios.
“Cliente” significa, conjuntamente o individualmente, el Cliente Comercial o el Cliente Individual.
“Documentación” se refiere a la documentación técnica para el uso de la API.
“Duración” significa la duración de la Suscripción suscrita por el Cliente según se define en la sección “Duración” a continuación.
“Experto” significa cualquier persona experta en idiomas y traducciones y que ha producido una o más plantillas de traducción enumeradas en el Catálogo.
“Contenido final” significa el Contenido traducido después de ser enviado para su traducción como parte de los Servicios proporcionados por SYSTRAN.
“Términos y condiciones generales” significa este documento en todas sus disposiciones.
“Cliente individual” significa cualquier persona, ya sea física o jurídica, que suscriba una Suscripción en virtud del presente como consumidor o no profesional en el sentido de las disposiciones del artículo preliminar del Código de Consumo.
“Datos lingüísticos” significa los datos cargados en la Plataforma por el Cliente para mejorar la calidad de la traducción y/o crear modelos específicos del Cliente. Los datos lingüísticos pueden ser, por ejemplo, diccionarios de usuario o memorias de traducción.
“Consola de administración” significa el espacio personal abierto por SYSTRAN en nombre y por cuenta del Cliente en la Plataforma y que le permite controlar su uso de los Servicios y gestionar su Suscripción.
“Modelo” significa un modelo de traducción establecido por SYSTRAN o por un experto en un par de idiomas, entendido desde un idioma de origen a un idioma de destino. El modelo de traducción puede ser genérico o especializado. Los modelos especializados se centran en un área particular de especialización para satisfacer una necesidad profesional específica.
“Número de caracteres” significa el número de caracteres escritos que un Usuario puede traducir durante un periodo de un mes según la Oferta suscrita.
“Oferta” significa los diferentes paquetes de suscripción ofrecidos por SYSTRAN, detallando los Servicios ofrecidos, el número de Usuarios autorizados para acceder a los Servicios, el Número de Caracteres concedidos por mes y por Usuario. Las ofertas se detallan en: https://www.systran.net.
“Orden” significa la suscripción de una Suscripción realizada por el Cliente en la Plataforma.
“Partes” significa SYSTRAN junto o individualmente con el Cliente, ya sea un Cliente Comercial o un Cliente Privado.
“Plataforma” se refiere al sitio web publicado por SYSTRAN desde el cual presta los Servicios y accesible en www.systran.net.
“Cliente profesional” significa cualquier persona, física o jurídica, que suscriba una Suscripción en virtud del presente como profesional que actúa en el marco de su actividad profesional.
“Servicios” significa los servicios para proporcionar una herramienta de traducción instantánea multilingüe, para integrar la herramienta en los sitios del cliente a través de la API, para acceder a una consola de administración y, finalmente, para acceder al Catálogo.
“Componente de software” es el conjunto de componentes que permiten el acceso a los Servicios indirectamente, salvo a través de la API, y en particular, a modo de ilustración, extensiones de navegador, aplicaciones web, plugins o complementos de Office, publicados o no por SYSTRAN.
“Subcontratista” significa las filiales extranjeras de SYSTRAN o cualquier afiliada o socio tercero seleccionado por SYSTRAN en función de sus competencias a las que SYSTRAN ha optado expresamente por confiar la totalidad o parte del rendimiento de los Servicios.
“Suscripción” significa la suscripción de los Servicios durante el período elegido por el Cliente en el momento del pedido.
“Usuario” significa cualquier persona expresamente autorizada por el Cliente, incluido el personal de sus subsidiarias, si las hubiera, para acceder y utilizar los Servicios suscritos por este último.
3. Operador de la Plataforma y de los Servicios
La Plataforma y los Servicios son operados por la empresa SYSTRAN SAS, una sociedad anónima simplificada constituida bajo la ley francesa, registrada en el Registro Mercantil y de Sociedades de París con el número 334 343 994, cuyo domicilio social es 5 rue Feydeau - 75002 París, Francia. 4. Servicios ofrecidos por SYSTRAN
SYSTRAN ofrece a todos sus clientes el acceso a los siguientes Servicios, bajo las condiciones aquí detalladas.
4.1. Acceso a la Consola de administración de servicios
SYSTRAN proporciona al Cliente una herramienta para gestionar los Servicios adquiridos. Esta herramienta es accesible en la Plataforma desde su Cuenta. Esta herramienta permite tener una visión global de todos los Servicios y el número de Usuarios Autorizados, para gestionar su Número de Caracteres, el uso de Modelos y las autorizaciones para acceder a los diferentes Servicios.
4.2. Acceso a la herramienta de traducción
SYSTRAN proporciona al cliente una herramienta de traducción instantánea multilingüe. El Cliente accede a la Plataforma a su elección a través del acceso directo a la interfaz web de la Plataforma, a través de API o a través de componentes de software puestos a disposición por SYSTRAN en su Plataforma y/o en tiendas de aplicaciones asociadas. El Cliente reconoce y acepta que el acceso a los Servicios a través de la API está restringido únicamente a Clientes Comerciales.
En el caso de que el Cliente acceda a los Servicios a través de la API, SYSTRAN proporcionará al Cliente un número personal para acceder y utilizar la API. Reconoce que es el único responsable de implementar la API en sus propias aplicaciones y/o herramientas, así como de configurar su sistema. En particular, reconoce que es el único responsable de verificar la compatibilidad de su sistema de información y sus aplicaciones empresariales con las especificaciones de la API. SYSTRAN no se hace responsable de la incompatibilidad de dichos sistemas y aplicaciones con la API.
El Cliente tendrá acceso a todos los Servicios descritos en la Oferta comprada por el Cliente.
Además, el Cliente reconoce que al suscribirse a una Oferta, el uso de los Servicios se limita al Número de Caracteres otorgados al Cliente en la Oferta, y que el Número de Caracteres se otorga por Usuario al mes. El Cliente reconoce que una vez alcanzado el Límite de Número de Caracteres en el plazo de un mes, el Usuario o Usuarios afectados ya no podrán acceder a los Servicios hasta el final del mes. Para continuar utilizando los Servicios, el Cliente debe aumentar el Número de Caracteres con un pedido adicional. El cliente también reconoce que si el número de caracteres no se ha utilizado completamente en un período de un mes determinado, la fracción no utilizada no se traslada a los meses siguientes ni SYSTRAN la canjea.
Al suscribirse a la oferta de API, el cliente reconoce que es posible consumir un número ilimitado de caracteres por mes y por usuario. En este contexto, los Personajes serán facturados a él según el uso. El cliente reconoce que para suscribirse a la oferta de API se compromete a consumir un número mínimo de caracteres al mes. En su defecto, SYSTRAN se reserva el derecho de terminar su acceso a través de la API y de proporcionar al Cliente acceso a través de la interfaz web de la Plataforma.
El Cliente también reconoce que en el caso de que realice demasiadas solicitudes de traducción al mismo tiempo a través de la API, el acceso a los Servicios se verá degradado y que SYSTRAN se reserva el derecho de limitar el procesamiento de dichas solicitudes y/o procesarlas más lentamente y/o suspender temporalmente el acceso a los Servicios.
Además, SYSTRAN permite al Cliente, dentro de ciertos límites, traducir documentos completos a varios formatos (por ejemplo, .docx, .pptx, .html, .txt, .pdf). La capacidad de traducir documentos depende de la capacidad de SYSTRAN para leer y traducir documentos correctamente, lo que no puede garantizarse. Si un Usuario utiliza la Plataforma para la traducción de documentos, solo podrá traducir un archivo a la vez. Si un usuario utiliza aplicaciones de escritorio, puede traducir varios archivos al mismo tiempo, siempre que se seleccione el mismo idioma de destino.
4.3. Acceso al catálogo
SYSTRAN pone a disposición de los Usuarios un Catálogo, accesible desde una pestaña dedicada en la Plataforma, en el que acceden a todos los Modelos especializados y generales propuestos por SYSTRAN.
El Cliente reconoce haber sido informado de que los Modelos son establecidos por SYSTRAN o por los Expertos. El nombre del autor de la plantilla aparece en el Catálogo. El Cliente reconoce que SYSTRAN no controla la calidad técnica y lingüística de los Modelos establecidos por los Expertos. La función de SYSTRAN se limita a hacer que estos modelos estén disponibles en el Catálogo. Por lo tanto, SYSTRAN no es responsable de la calidad de los modelos producidos por los expertos. SYSTRAN sigue siendo responsable de la calidad de sus propios modelos.
SYSTRAN tampoco garantiza la integridad de los Modelos ofrecidos en el Catálogo. En particular, SYSTRAN no garantiza al Cliente que encontrará un Modelo que se ajuste a sus necesidades.
El Usuario podrá seleccionar cualquier Modelo de su elección dentro del límite del Número de Caracteres a su disposición.
5. Condiciones para la prestación de los Servicios por SYSTRAN
SYSTRAN no accede al Contenido descargado por el Cliente ni al Contenido final producido por el Cliente en relación con el uso de los Servicios.
SYSTRAN almacena el Contenido y el Contenido Final en sus servidores con el único propósito de proporcionar los Servicios al Cliente durante el período de tiempo necesario para la prestación de los Servicios. El Contenido y el Contenido Final se destruyen inmediatamente cuando su conservación ya no es necesaria para prestar los Servicios. Es responsabilidad del Cliente tomar todas las medidas necesarias para retener el Contenido. SYSTRAN no devolverá el Contenido tras la finalización de los Servicios.
Como excepción, SYSTRAN podrá acceder a dicho Contenido o Contenido Final únicamente con fines de mantenimiento correctivo para resolver problemas técnicos que puedan comprometer la disponibilidad de los Servicios, con exclusión de cualquier otro uso.
En este contexto, se informa al Cliente que SYSTRAN se reserva el derecho de almacenar automáticamente el Contenido y el Contenido Final durante un período de setenta y dos (72) horas después del uso de los Servicios en caso de que identifique patrones de error durante la producción del Contenido Final. El Contenido final y/o el Contenido se almacenarán en forma encriptada y se destruirán automáticamente al finalizar el proceso de mantenimiento.
SYSTRAN garantiza al Cliente que cualquier registro de acceso a los Servicios que SYSTRAN pueda configurar con fines de facturación, seguridad o estadísticos no contendrá Contenido ni Contenido final. Sin embargo, se informa al Cliente de que dichos registros de acceso pueden contener metadatos, como la hora de la solicitud realizada o el tamaño del Contenido transmitido.
Los Datos Lingüísticos se almacenan en la Plataforma durante un periodo de tiempo indefinido. El cliente es totalmente responsable de la gestión de la carga, creación, mantenimiento y eliminación de los datos lingüísticos. El cliente garantiza a SYSTRAN que tiene derecho a almacenar los Datos Lingüísticos en la Plataforma y que tiene derecho a utilizarlos.
SYSTRAN garantiza al Cliente que los Datos Lingüísticos no serán utilizados para ningún otro fin que la prestación de los Servicios al Cliente.
5.2. Utilización de la API
En el caso de que el Cliente opte por acceder a los Servicios a través de la API, el Cliente reconoce y acepta que SYSTRAN no garantiza la exactitud o precisión de las respuestas de la API o el Contenido final producido.
En particular, dado el desarrollo en curso de la API, SYSTRAN se reserva la posibilidad de introducir nuevas versiones de la API con una gama de funcionalidades adicionales o diferentes en cualquier momento.
Además, SYSTRAN se reserva el derecho de desactivar cualquier versión anterior de la API en vista de la última versión de la API puesta a disposición por SYSTRAN, siempre que informe al Cliente por cualquier medio escrito y en particular por correo electrónico, al menos un (1) mes antes de desactivar versiones anteriores de la API.
La opción de utilizar una clave API-CAT solo se proporciona si el cliente elige el plan Translate PRO Premium únicamente.
Además, el Cliente reconoce que la integración de los Servicios en ciertas aplicaciones de terceros y/o el acceso a los Servicios a través de ciertas aplicaciones de terceros puede requerir la instalación de complementos o componentes específicos que el Cliente debe comprar a SYSTRAN además de la Suscripción.
En cualquier caso, SYSTRAN no se responsabiliza del uso de ninguna aplicación de terceros, la cual queda sujeta a los términos y condiciones de su proveedor.
5.3. Modificación De Los Servicios
SYSTRAN se reserva el derecho de modificar la totalidad o parte de los Servicios en cualquier momento a su discreción, incluyendo la adición de cualquier nueva funcionalidad. SYSTRAN garantiza al Cliente que cualquier cambio en los Servicios no resultará en ninguna disminución en el nivel de servicios o funcionalidad de los Servicios.
La adición de cualquier nueva funcionalidad no supondrá ningún coste adicional para el cliente durante el periodo de suscripción, siempre que no se proponga como un producto o una opción independiente para todos los clientes.
Sin embargo, SYSTRAN podrá modificar, limitar y/o eliminar ciertas características de los Servicios por razones de seguridad de los datos, requisitos técnicos esenciales o debido a cambios en la legislación aplicable.
SYSTRAN informará al Cliente de cualquier cambio en los Servicios de manera oportuna, por correo electrónico o notificación directamente en la Plataforma y a más tardar veinticuatro (24) horas antes del cambio planeado en los Servicios.
5.4. Alojamiento De Datos
SYSTRAN se compromete a garantizar, en los términos de una obligación de medios, el alojamiento de Cuentas, datos y diversos Contenidos almacenados por un Usuario en la Plataforma de acuerdo con las costumbres de la profesión y el estado de la técnica, en sus servidores o por un proveedor de alojamiento profesional, ejerciendo su actividad de acuerdo con las costumbres de la profesión y el estado de la técnica.
Como parte de esto, SYSTRAN se compromete a proporcionar al Cliente suficientes capacidades de almacenamiento y procesamiento como parte de los Servicios.
SYSTRAN se compromete a implementar todos los medios técnicos necesarios para garantizar la seguridad y el acceso a los Servicios, cubriendo la protección y supervisión de la infraestructura, el control del acceso físico y/o intangible a dicha infraestructura, así como la implementación de medidas de detección, prevención y recuperación para proteger a los servidores de actos maliciosos.
SYSTRAN también se compromete a tomar todas las precauciones necesarias, teniendo en cuenta la naturaleza de los datos y los riesgos que presenta el tratamiento automatizado de datos implementado para los fines de los Servicios, para preservar la seguridad de los datos y, en particular, para evitar que sean distorsionados, dañados o tengan acceso a ellos por terceros no autorizados.
SYSTRAN garantiza finalmente al Cliente que todos los datos almacenados en la Plataforma bajo los Servicios, se alojan en servidores ubicados en la Unión Europea. SYSTRAN se compromete a informar al Cliente, por cualquier medio escrito, de cualquier cambio en la ubicación de los servidores, al menos un (1) mes antes del cambio real en la ubicación de los servidores.
5.5. Garantía De Nivel De Servicio
SYSTRAN se compromete a garantizar la permanencia, continuidad y calidad del acceso a los Servicios durante toda la Duración de acuerdo con el estado de la técnica.
Como tal, SYSTRAN hará todo lo posible para mantener el acceso a la Plataforma 24/7 y garantizar la disponibilidad de los Servicios en 97% a lo largo de un año, calculado según el número de horas de disponibilidad de los Servicios en sus funciones esenciales dividido por el número de horas en un año, excluyendo las horas de mantenimiento programadas, los casos de fuerza mayor y/o interrupciones de los Servicios debido a un tercero, incluso debido a un aumento repentino y anormal en el número de solicitudes de traducción por parte del Cliente que requiere un aumento imprevisto en la capacidad del sistema.
Dada la complejidad de Internet, la desigual capacidad de las distintas subredes, la afluencia en determinados momentos y los diversos cuellos de botella sobre los que SYSTRAN no tiene control, la responsabilidad de SYSTRAN se limitará al funcionamiento de sus servidores, cuyos límites externos son los puntos de conexión.
SYSTRAN no se hace responsable de (i) las velocidades de acceso a sus servidores, (ii) las ralentizaciones externas a sus servidores, y (iii) las malas transmisiones debido a un fallo o mal funcionamiento de estas redes.
En caso necesario, SYSTRAN se reserva el derecho de limitar o suspender el acceso a los Servicios para llevar a cabo cualquier mantenimiento y/o mejora de los Servicios. SYSTRAN se compromete a hacer todo lo posible para garantizar que tales operaciones no provoquen interrupciones de los Servicios durante más de cuatro (4) horas y, en la medida de lo posible, tengan lugar fuera del horario de trabajo, hora de París, Francia. SYSTRAN informará al Cliente de la programación de dicha información, por cualquier medio que considere útil y, en particular, mediante notificación en la Plataforma con al menos veinticuatro (24) horas de antelación. Como parte de estas operaciones, SYSTRAN se compromete a hacer todo lo posible para realizar los backups de los contenidos almacenados en la Plataforma.
El Cliente reconoce y acepta que esta Garantía de Nivel de Servicio no cubre ningún fallo o interrupción de los Servicios por parte de operadores de telecomunicaciones o proveedores de servicios de Internet y web móvil.
En cualquier caso, se acuerda expresamente entre las Partes que el incumplimiento de cualquier compromiso previsto en este artículo no será penalizado en ningún caso por el incumplimiento del mismo y su responsabilidad se limitará en las condiciones establecidas a continuación en el artículo “Responsabilidad”.
5.6. Mantenimiento Correctivo
SYSTRAN garantiza el mantenimiento correctivo de la Plataforma, entendida como el diagnóstico y corrección de cualquier anomalía que afecte a su funcionamiento.
El cliente se compromete a declarar cualquier anomalía lo antes posible a la siguiente dirección de correo electrónico: [email protected]. El cliente se compromete a describir con la mayor precisión posible las dificultades encontradas y las circunstancias en las que se produjeron. La descripción del cliente del fallo debe permitir a SYSTRAN caracterizar el incidente.
SYSTRAN se compromete a llevar a cabo el diagnóstico de la Anomalía, basándose únicamente en la información proporcionada por el Cliente en el informe del incidente, tan pronto como sea posible después de recibir la notificación de la Anomalía.
Una vez realizado el diagnóstico, SYSTRAN se compromete a hacer todo lo posible por intervenir para corregir la anomalía en un plazo razonable. SYSTRAN se reserva el derecho, en el caso de una deficiencia menor, entendida como cualquier deficiencia que impida el uso de ciertas características no esenciales de los Servicios, de posponer la corrección de la deficiencia hasta la fecha de la próxima actualización importante.
El cliente también reconoce que SYSTRAN puede necesitar reemplazar la versión de la API del cliente con una nueva versión con características y herramientas adicionales y diferentes como parte de los esfuerzos de mejora de las herramientas y servicios del cliente. En este caso, SYSTRAN informará al Cliente a su debido tiempo por correo electrónico. En cualquier caso, SYSTRAN se compromete a no introducir ningún cambio de interrupción y garantiza que los cambios en la API conservarán la compatibilidad con versiones anteriores. Si las nuevas características requieren una revisión completa de la API, SYSTRAN introducirá esta nueva API como una API alternativa versionada, conservando la funcionalidad de la API existente. En este caso, el cliente reconoce que las nuevas características solo estarán disponibles para el cliente si este acepta usar e instalar la nueva API.
Se acuerda expresamente entre las Partes que el incumplimiento de cualquier compromiso previsto en este Artículo no será penalizado en ningún caso por el incumplimiento del mismo y su responsabilidad será limitada bajo las condiciones establecidas a continuación en el artículo “Responsabilidad”.
6. Acceso a los servicios
La Plataforma y los Servicios son accesibles:
- A cualquier persona física que tenga plena capacidad legal para comprometerse bajo estos Términos y Condiciones. Un cliente que no tenga plena capacidad legal podrá acceder a la Plataforma y a los Servicios únicamente con el consentimiento expreso de su representante legal;
- To any legal person acting through a natural person having legal capacity to contract in the name and on behalf of that legal person.
Customer acknowledges that, depending on whether he is a professional or an individual, the terms of subscription and access to the Services may differ. In particular, the Individual Customer acknowledges being informed that he is subject to the following common provisions and that he also benefits from the more protective provisions stemming from consumer law and detailed below in the article “Specific provisions for the Individual Customer”.
7. Obligations of the Customer
7.1. Acceptance of Terms and Conditions
By subscribing to the Services, Customer declares that he/she has read these General Terms and Conditions and expressly accept them.
This acceptance can only be full and complete, without modification of any kind. Any membership subject to reservation shall be considered null and void. A customer who does not agree to be bound by these General Terms and Conditions shall not use the Services or access the Platform.
Customer acknowledges and agrees that access to the Services is non-exclusive, SYSTRAN remaining free to provide the Services to any other third party of its choice, without limitation of any kind.
7.2. Strictly personal use
The Parties acknowledge and agree that Customer subscribes to the Services on behalf of and for itself. Customer is authorized to give access to the Services to its subsidiaries within the meaning of article L.233-1 of the Commercial Code, in case he/she wishes to make them benefit from the Services, to the exclusion of any other third party. Customer acknowledges and accepts as such that the members of its subsidiaries are considered as Users within the meaning of this Agreement in the same way as their own staff and that he/she is solely responsible for the compliance by the latter with the terms of this Agreement.
Customer acknowledges and agrees that only one Account may be created by a User authorized to access the Services in connection with the Subscribed Offer.
Customer agrees, on behalf of itself and/or its personnel and/or the personnel of its subsidiaries authorized to access the Services, that each User will use the Services personally, and that no third party will use them in their place or on their own behalf, except to assume full responsibility. Customer is solely responsible for the proper use of the Services and the Management Console by themselves or their personnel or the personnel of their subsidiaries in compliance with these terms.
Customer acknowledges that each User is otherwise responsible for maintaining the confidentiality of his/her logins and password.Under no circumstances will SYSTRAN be liable for the fraudulent use of the Management Console and/or the Services by an unauthorized third party accessing it through the identifiers and password of a Customer User.
Should Customer become aware that its Management Console is or has been used without Customer’s knowledge, Customer undertakes to notify SYSTRAN as soon as possible at the following address: [email protected].
7.3. Internal Use
Customer acknowledges that the use of the Services is strictly for the exercise of their professional activity and, as such, that their employees may use the Services only for that purpose. It is prohibited to market and/or grant a right of access to the Services to third parties, and in particular to their own customers.
7.4. Ordering Services
A customer who wishes to subscribe to a Subscription must go to the Platform to select an Offer and the desired Subscription duration and place it in the basket. To finalize the Order, Customer must fill in all the necessary information requested by SYSTRAN according to the Offer subscribed and in particular, he must enter an email address and a password according to the indications of the Platform, as well as a billing address and payment information. Once the Order is finalized, Customer must click on the “Buy Now” button.
Customer guarantees SYSTRAN that the information provided for the subscription to the Services and the opening of the Accounts is accurate and not tainted by any deceptive character. SYSTRAN reserves the right to carry out any verification process it deems useful, including the email, identity, and contact details of Users.
Customer undertakes to inform SYSTRAN without delay of any change in the said information at the contact address indicated in the article “Platform Operator” hereof.
SYSTRAN reserves the right not to give a positive response to an Order, at its discretion, and in particular in the following cases:
- Customer provides a machine translation service by themselves or by one of their subsidiaries. In particular, SYSTRAN reserves the right, without limitation, not to accept Orders from Amazon Inc., Microsoft Corporation, Google LLC, Alphabet Inc., Apple Inc., Facebook Inc., and all their subsidiaries.
- Customer has their registered office in a geographical area in which SYSTRAN does not market the Services.
- Customer is engaged in an activity that is manifestly unlawful and/or contrary to applicable laws relating to the protection of human rights, children or workers and/or in violation of financial or commercial restriction measures.
- Customer has already contracted with SYSTRAN in the past and the contract has been terminated for breach of the contract..
7.5. Use of Services
Prior to any use of the Services, Customer acknowledges that:
- He has taken note of the characteristics and constraints, particularly technical, of all the Services.
- He takes in charge any internet connection, network connection and hardware needed to access the services.
- That he must provide SYSTRAN with all the documents, elements, data and information necessary for the proper performance of the Services, and in particular with any personal data that may be necessary for this purpose. More generally, Customer undertakes to actively cooperate with SYSTRAN for the proper execution of these terms and to inform it of any difficulties related to this execution.
Customer agrees to use the Services solely for the purposes set forth herein and in accordance with applicable laws. Customer agrees in particular to:
- use the Services in accordance with applicable laws and regulations and not infringe on the rights of third parties or public order. In particular, it is prohibited to use the Services:
- for any illegal, fraudulent or other activity affecting the rights or safety of third parties, including the development of any application that violates the rights of a third party or any other applicable law or regulation;
- for spamming or other unsolicited advertising;
- to transmit to SYSTRAN data that cannot be communicated or processed by SYSTRAN due to personal data protection laws, business secrecy or contractual or legal obligations of confidentiality, export restrictions or other legal provisions or rights of third parties;
- o to produce and/or disseminate Final Content (i) that is pornographic, obscene, indecent, offensive or inappropriate to a family audience, defamatory, offensive, violent, racist, xenophobic or revisionist, (ii) that is counterfeit, (iii) that attacks third parties, (iv) that lies, deceives or proposes or promotes illegal, fraudulent or misleading activities, (v) that is harmful to third parties’ computer systems (such as viruses, worms, Trojan horses, etc), and (vi) more generally any content that may infringe the rights of third parties or be prejudicial to third parties in any way or form;
- To assist or incite, in any form and in any way, one or more of the acts and activities described above.
In addition, he/she is solely responsible for the proper completion of all administrative, tax and/or social formalities and for all the payments of contributions, taxes or taxes of any kind that are incumbent on them in connection with their use of the Services.
- not to translate Content containing personal data without having previously informed SYSTRAN and signed a specific data protection agreement with SYSTRAN.
- have all rights and authorizations necessary for the use of the Content and/or the production of the Final Content, including any intellectual property rights. They undertake that the said Content is lawful, does not infringe public order, good morals or the rights of third parties, does not infringe any legislative or regulatory provision and, more generally, is not liable in any way to jeopardize SYSTRAN’s civil or criminal liability.
- not to use the Services in connection with or for the purpose of operating critical infrastructure, such as power plants, military or defense equipment, medical devices or other equipment the failure or alteration of which would result in unforeseeable economic or physical damage, including but not limited to critical infrastructure within the meaning of European Directive 2008/114/EC.
- not to use the Services to perform benchmark tests or any other capacity test of the SYSTRAN information system and/or for the purpose of decompiling the Platform.
More generally, it is strictly forbidden for any Customer to copy and/or misuse for his or her own purposes or those of third parties the concept, technologies or any other element of the Platform and/or API. The following are also strictly prohibited:
- any behavior likely to interrupt, suspend, slow down or prevent the continuity of the Services,
- any intrusions or attempted intrusions into SYSTRAN systems,
- any misappropriation of the Platform and/or API system resources,
- any action likely to impose a disproportionate burden on the infrastructure of the latter, and in particular any disproportionate use of the translation dialog box,
- any breach of security and authentication measures,
- any act likely to prejudice SYSTRAN’s financial, commercial or moral rights and interests, and finally more generally (vii) any breach of these General Terms and Conditions.
- not to use the Services to develop services and products (platform, APIs, Software Components, etc.) similar to those developed by SYSTRAN for the purpose of providing machine translation services, including for internal purposes and/or developing, marketing or training an machine translation algorithm.
- More generally, not to use the Services for purposes other than those for which they were designed.
In addition, Customer is not permitted to access the Services through automated procedures which may result in an increased number of requests for translation production, exceeding normal human behavior and creating a tool lock. Customer therefore undertakes to limit its use to a reasonable use expected by a human being.
In the event of a breach of any of its obligations, Customer guarantees SYSTRAN against any complaint, claim and/or action by any third party claiming that the Contents would constitute a violation of its rights, whatever they may be, and in particular its intellectual property rights, right to the image and protection of privacy. Accordingly, Customer undertakes to indemnify SYSTRAN for any prejudice it may suffer and to bear all damages, as well as costs and expenses to which SYSTRAN may be ordered, or which are provided for by a settlement agreement signed by SYSTRAN after obtaining the prior agreement of Customer.
Finally, Customer acknowledges that the Services offer them an additional alternative solution for translating his Content and that these Services cannot replace the other means that the User may otherwise have to achieve the same objective.
7.6. Sanction of non-compliance
In the event of a breach of any of the provisions of the Agreement, provision of incorrect, incomplete, misleading or outdated information at the time of registration or more generally, a violation of the laws and regulations by Customer, SYSTRAN reserves the right to:
- temporarily or permanently suspend, without delay, access to the Services,
- remove any content related to the breach or infringement in whole or in part,
- take all appropriate measures and initiate any legal proceedings,
- where appropriate, notify, cooperate with and provide the competent authorities with all information relevant to the investigation and suppression of illegal or unlawful activities.
In the event of the Customer’s failure to comply with an essential obligation arising from the Agreement, or a repeated violation thereof, SYSTRAN reserves the right to terminate Customer’s access to all or part of the Services, with immediate effect, by email. Termination shall take effect by operation of law on the date on which SYSTRAN sends the written notice to Customer pursuant to this clause. It automatically entails, without prior notice, the deletion of Customer’s account, without prejudice to any other consequences that may arise in application of the Agreement.
8. Duration
Customer subscribes to an Offer in the form of a subscription for a period of one (1) month or twelve (12) months, at Customer’s free choice, as indicated in the Order, running from the date of the Order, renewable by tacit renewal for successive periods of the same duration as the Initial Duration, under the same terms and conditions, unless denounced in the conditions of the article “Termination” below.
Customer acknowledges and agrees that by default, Customer shall subscribe to a Subscription for a minimum of one (1) month.
9. Financial Terms
9.1. Subscription Prices
In return for the provision of the Services, Customer agrees to pay the Subscription fee. In this regard, he acknowledges that SYSTRAN offers the Customer different Offers depending in particular on the mode of access to the Services (via the Platform, via the API or via a software component), the number of Users, the Number of Characters granted per User per month, the functionalities and the subscription period chosen by Customer.
The characteristics and the applicable price scheme for each Offer are made available to Customer on the Platform. Customer acknowledges and accepts that the price of the Subscription subscribed is the one corresponding to the Offer selected at the time of the Order.
The Subscription price is expressed in Dollars for North American countries, South Korean Won for Korea, Yen for Japan, and Euros for the rest of the world, depending on Customer’s geographic location.
Customer may at any time increase his Number of Characters with an additional order, in particular when he has reached the limit of the Number of Characters granted for one month.
The unit price of a Character is freely determined by SYSTRAN and made available to Customer on the Platform. The Unit Price of the Character is expressed in Dollars for North American countries, in South Korean Won for Korea, in Yen for Japan and in Euros for the rest of the world, depending on Customer’s geographic location.
9.2. Terms of payment
The price of the Subscription is due in full on the date of the Order for the Initial Term and on the date of renewal of the Subscription for each renewal period. SYSTRAN will send Customer an invoice at the time of the Order.
Customer pays the price at his choice by credit card directly on the Platform at the time of the Order. In this case the payment is immediately due upon validation of the Order. The Professional Customer can also make the payment by bank transfer to the account whose details are indicated on the invoice. In this case, Customer acknowledges that the transfer of funds must take place at the latest within three (3) days of receipt of the invoice.
Customer guarantees SYSTRAN that he has the necessary authorizations to pay the price.
9.3. Non-payment
Customer is informed and expressly accepts that any delay in payment of all or part of the sums due when due will automatically result, without prejudice to the provisions of the articles “Sanction of non-compliance” and “Termination”, without prior notice:
- The forfeiture of all sums due by the Customer and their immediate liability;
- Immediate suspension of the Services in progress until full payment of all amounts due by Customer;
- Invoicing by SYSTRAN of late-payment penalties due the day following the due date indicated on the invoice, equivalent to the interest rate applied by the European Central Bank to its most recent refinancing operation plus 10 percentage points, based on the amount of all sums due by Customer, and a flat-rate compensation of 40 euros for recovery costs.
10. Confidentiality
For the duration of the Subscription and for a period of three (3) years after the end of the Subscription, the Parties undertake to keep strictly confidential all information and documents of any kind that they have received from each other in execution of this Subscription and/or constituted in execution of this Subscription, including this document and in particular economic, strategic or marketing, legal, manufacturing or business secrets, know-how, software licenses, databases, Templates, as well as in particular all data constituting in execution of the Services.
Each Party undertakes (i) not to use the confidential information for any purpose other than as provided herein, (ii) to strictly maintain the confidentiality of such information, and (iii) not to disclose such confidential information to any third party in any form, in any manner or for any reason, except to members of its personnel or any other person acting on its behalf and for its account who need to know it in order to perform this Agreement.
Confidentiality shall not apply to:
- information which is known to have been disclosed before it was obtained by the Parties or which becomes so disclosed subsequently, without fault of any of them;
- information which does not result directly or indirectly from the use of all or part of the confidential information within the meaning of this Article;
- information validly obtained from third parties authorized to transfer or disclose such information;
- where the disclosing Party has expressly released the other Party from its obligation of confidentiality.
If one of the Parties is required to disclose such confidential information in order to comply with a legal or regulatory obligation or a court decision, it being understood that such disclosure may relate only to confidential information the disclosure of which is expressly required, it shall inform the other Party in advance as soon as possible.
In the event of denunciation or termination of this Agreement, each Party expressly undertakes to return in full and without delay or to destroy all confidential information communicated to it by the other Party in the course of the performance of this Agreement, and to destroy any copy, backup, extract, reproduction or summary of such confidential information
11. Intellectual Property
11.1. SYSTRAN Intellectual Property
The systems, software, platform, APIs, software components, structures, infrastructure, databases, data, codes, algorithms, translation models and content of any kind (text, image, logo, brand, data, etc.) published and operated by SYSTRAN in connection with the Services, are the full and complete property of SYSTRAN, whether or not they are protected by intellectual property rights.
The Models produced by an Expert and made available to Customers on the Catalog, remain the full property of their author. Any claim relating to a Model produced by an Expert will be addressed exclusively to the said Expert.
These General Terms and Conditions do not confer on the Customer and/or its Subsidiaries, as well as Users, any property rights of any kind whatsoever, and in particular intellectual or industrial property rights, on the Platform, the APIs, the Services and/or the contents of SYSTRAN as detailed above, which remain the full property of SYSTRAN, which Customer expressly acknowledges and accepts in these terms.
Customer and/or the Subsidiaries have only one license to use the Platform, APIs, Software Components, Services and Content, under the conditions detailed hereunder in the “License to Use Tools” article.
The Customer undertakes not to commit any act that could affect the property rights and in particular intellectual property of SYSTRAN on the Platform, the APIs, the Software Components, the Services and the Contents of SYSTRAN, in whole or in part, whether by reproduction, by representation or by adaptation, modification, transformation. Any unauthorized use and/or access by SYSTRAN hereunder and/or not in accordance with the provisions of the Intellectual Property Code is unlawful and will give rise to legal proceedings in particular in the field of counterfeiting in accordance with the provisions of Article L.335-3 of the Intellectual Property Code. In particular, any disassembly, decompilation, decryption, extraction, reuse, copying of the elements referred to herein are strictly prohibited.
11.2. Tools License
SYSTRAN grants Customer, for the entire duration of the Subscription and for the entire world, the non-exclusive, personal and non-transferable right to use the Platform, the API, the Software Components and the Services, in their version existing on the date of execution of the Agreement, as well as in their future versions made available on the Platform and/or the API, as well as in their technical documentation, for the sole purpose of the Services, in the Subscription terms.
This license is granted to Customer subject to full payment of the price, under the conditions set out in the “Financial Terms” above.
Customer expressly prohibits any other use of the Platform and the API, the Software Components and the Services, and in particular, he prohibits reproducing, arranging, adapting the Platform and/or the API and/or the Services, making them available to third parties, creating any derivative work of all or part of the Platform and/or the API and/or the Software Components and/or the Services, marketing them or offering them for rent.
Customer specifically prohibits the use of the Services and the Platform to develop, market or train a machine learning algorithm.
Any reproduction, representation, distribution, adaptation, marketing of the Platform and/or the API and/or the Services by any customer not complying with the above provisions, would constitute the offense of infringement, in accordance with the provisions of Article L.335-3 of the Intellectual Property Code.
11.3. Content License
Customer grants SYSTRAN, for the entire duration of the Subscription and for the whole world, free of charge, the non-exclusive, personal and non-transferable right to use the Content, for the sole purpose of providing the Services, under the terms of the Subscription. SYSTRAN expressly prohibits any other use of the Content, and in particular, it prohibits making it available to third parties, creating any work derived from all or part of the Content, marketing it or offering it for rent. SYSTRAN further undertakes not to reuse any Content provided by Customer in connection with its use of the Services.
By way of exception, SYSTRAN may reuse Customer Content when Customer has its own Model, which requires customization. In this case, SYSTRAN’s reuse of Content will be limited only to customizing the Model in Customer’s interest.
Any reproduction, representation, distribution, adaptation, marketing of the Content not in accordance with the preceding provisions, would constitute the offense of counterfeiting, in accordance with the provisions of Article L.335-3 of the Intellectual Property Code.
12. Avoidance Guarantee
SYSTRAN guarantees to Customer the full and peaceful enjoyment of the licensed rights in the Services against any disturbance, action, claim or eviction. In particular, it guarantees Customer (i) that it has all the rights and authorizations necessary to grant the license provided herein and that the SYSTRAN Services do not contain anything that could fall within the scope of laws and regulations relating in particular to counterfeiting, unfair competition, privacy, right to image, rights of personality and more generally to infringe the rights of third parties and, (ii) that it has not consented and will not grant to a third party any assignment or license to use the Services that could prevent or hinder the exercise of the rights held by Customer under license on said Services.
SYSTRAN guarantees Customer against any complaint, claim and/or demand by any third party that Customer may suffer as a result of SYSTRAN’s breach of the above guarantees. It undertakes to indemnify Customer for any damage that he may suffer and to pay him any costs, indemnities, charges and/or convictions that he may have to bear as a result.
In return, Customer undertakes to notify SYSTRAN by registered letter with acknowledgement of receipt as soon as possible from their receipt, of any formal notice or summons or request received from a third party. However, the Parties agree that, unless expressly waived, SYSTRAN will take control of the defense and any negotiations for a settlement.
Customer acknowledges and agrees that this Guarantee does not apply where the third party’s claim arises, even in part, from any use of the Services that is not in accordance with the terms of the license as set forth herein.
In the same terms, Customer guarantees SYSTRAN that they have all the rights and authorizations of any kind necessary to use the Content and submit it for translation on the Platform in the context of the Services. Customer guarantees SYSTRAN that the Content does not contain anything that could fall under the laws and regulations relating in particular to counterfeiting, unfair competition, privacy, right to image, rights of personality and more generally violate the rights of third parties.
SYSTRAN will not be held responsible for the consequences of any violation of this clause.
The Customer guarantees SYSTRAN against any third party complaint and/or claim that SYSTRAN may suffer as a result of the Customer’s breach of the above Guarantees. He undertakes to compensate SYSTRAN for any damage it may suffer and to pay any costs, allowances, charges and/or penalties it may have to bear as a result.
13. SYSTRAN exclusions of liability and guarantee
SYSTRAN undertakes to provide the Services diligently and in accordance with the rules of the art, it being specified that it has an obligation of means, to the exclusion of any obligation of result, which Customer expressly acknowledges and accepts.
Customer acknowledges that SYSTRAN’s involvement is limited to the provision of the Services. SYSTRAN is not aware of the Content used by Users in connection herewith, on which it does not perform any moderation, selection, verification or control of any kind and in respect of which it acts only as hosting provider for the time necessary for the performance of the Services. As a result, SYSTRAN cannot be held responsible for such Content.
Furthermore, SYSTRAN cannot be held responsible for the incorrect installation of the API or Software Components by Customer in the context of the provision of the Services.
In the event that Customer uses Software Components developed by a third party, SYSTRAN assumes no liability.
It is Customer’s responsibility to take all appropriate measures in order to protect his own data and/or computer from contamination by possible viruses circulating on the Internet, with the exception of contamination caused by SYSTRAN as described below.
Furthermore, SYSTRAN does not guarantee Customer that:
- Machine Translation Services are perfect and of the same quality as human translators. Customer acknowledges that these Services are not intended to replace human translators and cannot be perfect. Furthermore, the quality of the source text significantly affects the quality of the translations. Therefore, Customer acknowledges that SYSTRAN will not be liable for the quality of the translation obtained through the use of the Services;
- the Services, subject to continuous research to improve their performance and progress, shall be completely free from defects, errors or defects;
- the Services being standard and not offered solely to the Customer based on his own personal constraints, will specifically meet the Customer’s needs and expectations;
- the Services, the Platform, the API and/or the Software Components will operate in an uninterrupted manner, SYSTRAN reserving the right to temporarily interrupt access to the Platform and/or the API and/or the Software Components for maintenance reasons under the conditions of the article “Service Level Guarantee”, and cannot under any circumstances be held liable for disruptions or failures of the Internet or the telecommunications network, and more generally which would have their origin in circumstances external to it or resulting from force majeure.
SYSTRAN is not liable to Users for any guarantee as to the number and diversity of Models offered in the Catalog.
In addition, SYSTRAN does not provide any warranty with respect to (i) the compliance of the Templates with applicable laws and regulations, (ii) the compliance of the Templates with contractual terms and the existence of possible hidden defects.
Subject to these reservations, SYSTRAN may be held liable under the conditions of ordinary law solely for direct damages suffered by the Customer, resulting from a breach of its contractual obligations as defined herein. The Customer therefore waives any claim against SYSTRAN for indirect damages, including loss of profits, loss of opportunity, commercial or financial loss, increased overheads or losses arising out of or as a result of the performance of this Agreement.
SYSTRAN shall also not be liable for any damage claimed by the Customer resulting from:
- modification of the Services performed by SYSTRAN or any interruption of the Services under the conditions set forth herein.
- any delay, error, technical failure or incompatibility between the Services and the Customer’s Content, information system, browser or any other program used to access the Services, or more generally any other technical difficulty beyond SYSTRAN’s control.
- Customer’s inability to maintain the security and confidentiality of their login and password or personal data.
- Failure by Customer to provide all information, including Customer’s personal data, necessary for the proper performance of the Services.
In any event, SYSTRAN’s liability that may be incurred hereunder shall be expressly limited to an amount not exceeding the amount invoiced by SYSTRAN in respect of the Services for the current period. SYSTRAN shall not be liable unless the Customer has made a complaint by registered letter with acknowledgement of receipt within one (1) month of the occurrence.
14. Protection of personal data
SYSTRAN has a personal data protection policy; its characteristics are explained in the document entitled “Privacy Policy”, accessible from the Platform at the following address: https://www.systransoft.com/systran/privacy-policy/ and which Customer is expressly invited to read.
SYSTRAN declares that it complies with all legal and regulatory obligations relating to the protection of personal data aimed, in particular, at ensuring the security and confidentiality of the data collected and processed on its own behalf as controller.
15. Trade References
The Parties are the sole owners of their names, trademarks, logos, signs, designs. This Agreement does not, therefore, entail any assignment of the intellectual property rights held by one Party over its distinctive signs to the benefit of the other Party, nor any right of use of any kind. Each Party undertakes to respect the intellectual property rights of the other Party in respect of such distinctive signs.
However, the Professional Client expressly authorizes SYSTRAN to use its name, trademark, logo and references, as commercial references, on any medium and in any form whatsoever, for the duration of this Agreement and five (5) years after the end of the relations between the Parties, unless expressly refused by the Client in writing.
16. Third Party Links and Sites
SYSTRAN cannot be held responsible for the technical availability of websites operated by third parties (including its possible partners) to which Customer accesses via the Platform.
SYSTRAN assumes no responsibility for the content, advertising, products and/or services available on such third-party sites, which it is recalled are governed by their own terms of use.
SYSTRAN is also not responsible for transactions between Customer and any advertiser, professional or merchant (including any of its partners) to which Customer would be directed through the Platform and shall not be party to any disputes whatsoever with these third parties.
17. Insurance
SYSTRAN and the Professional Customer guarantee each to have taken out the necessary insurance policies to insure and guarantee the consequences of their professional civil liability in case it is incurred, so as to cover the financial consequences of the damages for which each would have to answer.
Each Party undertakes to maintain such policies for the duration of this Agreement. Each Party undertakes to produce the corresponding insurance certificates at the first request of the other Party.
Any modification, suspension or termination of insurance policies by either Party shall be brought to the notice of the other Party, without delay, by sending a registered letter with acknowledgement of receipt to the address of the other Party as indicated above or by email.
18. Force majeure
Neither Party may be held liable vis-à-vis the other Party in the event that the performance of its obligations is delayed, restricted or rendered impossible, due to the occurrence of an event of force majeure in the sense usually recognized by law and French courts.
It is understood between the Parties that the same consequences will apply as force majeure, personnel strikes and all other social movements, wars, riots and all other movements, administrative measures of quarantine, embargo and any other restrictive measures affecting the freedom to conduct business, viruses, attacks or any act which results in the paralysis of the Internet network or blocks the use of computer equipment and solutions, which are beyond the responsibility of the Parties and make impossible the performance of the Services in whole or in part.
The Party which is the victim of force majeure undertakes to notify the other Parties without delay, as far as possible. The obligations of the Parties shall then be suspended for the duration of the event for a period not exceeding three (3) months. The Parties shall approach each other in order to determine together the most appropriate means of mitigating, if possible, the consequences of the event(s) constituting force majeure.
In the event that the case of force majeure extends beyond the aforementioned period, either Party may terminate this Agreement, automatically, without legal formalities, without notice and without right to compensation of any kind, by sending a registered letter with acknowledgement of receipt having immediate effect, under the conditions defined in the article “Notification”.
19. Termination
19.1. Non-renewal of the General Terms and Conditions
Customer may terminate the Agreement, without having to justify reasons, at the end of the initial period or each renewal period, provided that SYSTRAN is informed by email to the following address: [email protected], at the latest on the day of the Subscription renewal date. The Subscription automatically ends on the effective date of the termination of the General Conditions.
19.2. Termination for breach
In the event of a failure by one of the Parties to fulfill any of its obligations under these General Conditions, which would not be remedied within thirty (30) calendar days from the receipt of a formal notice to have to remedy the failure addressed by registered mail with acknowledgement of receipt, the other Party may, of its own right and without legal formalities, terminate these General Conditions.
Termination of this Agreement shall be without prejudice to any damages to which the Terminating Party may be entitled as a result of the failure of the other Party and any penalties due to it.
19.3. Termination in case of modification of the Services
SYSTRAN reserves the right to terminate the Subscription at any time, subject to sending Customer a registered letter with or without acknowledgement of receipt at least thirty (30) days before the termination of the Subscription takes effect, in the event that:
The continuation of commercial relations between SYSTRAN and Customer and/or the provision of the Services would become unlawful under the applicable regulations, for any reason whatsoever;
SYSTRAN would terminate business relationships with any partner with whom it provides all or part of the Services to Customer and/or in the event that such partner ceases to provide its share of the Services to Customer.
19.4. Consequences of termination of the Subscription
The non-renewal and/or termination of the Subscription for any reason shall result in the deactivation of all Accounts opened by Customer. Customer is entitled to recover all data, content and more generally all elements stored on his Accounts by his own means. Customer acknowledges and accepts that SYSTRAN shall not be liable for any loss or alteration of the data stored on Accounts after the deactivation of the Accounts, whatever the cause.
Customer acknowledges and accepts that all amounts paid under the Subscription at the date of the denunciation will remain vested in SYSTRAN and that Customer will not be entitled to request their restitution. In particular, in the event that Customer has not used all the Number of Characters granted, he will not be entitled to obtain a refund.
In the event of termination by SYSTRAN due to Customer’s breach of its obligations, Customer acknowledges and agrees that all payments made for the Services shall remain vested in SYSTRAN.
In the event of termination by Customer due to the failure of SYSTRAN and/or its Subcontractors to fulfill its obligations, Customer acknowledges and accepts that he will only be entitled to obtain reimbursement of the sums paid for the Services in proportion to the number of months remaining between the effective date of the termination and the end of the Subscription, as well as reimbursement of the fraction of the Number of Characters not used at the effective date of the termination.
Finally, the Parties acknowledge and accept that the denunciation and/or termination of the Agreement, for any reason whatsoever, has no effect on the continuation of the obligations provided for in these General Terms and Conditions having their own duration, in particular the provisions relating to confidentiality, the protection of personal data and intellectual property.
20. Changes to Terms and Conditions
SYSTRAN reserves the right to modify these General Terms and Conditions at any time. Customer will be informed of any major changes by any useful means, and in particular by a pop-up window on the Platform or by email, at least thirty (30) days before their entry into force. The modified Terms and Conditions will apply from the date of renewal of these Terms and Conditions, under the terms of the “Duration” section, for the Services in progress and immediately for any new order.
Any customer who uses the Services after the entry into force of the amended General Terms and Conditions shall be deemed to have read and accepted these amendments, which shall be fully applicable to them.
Any other modification of these General Terms and Conditions desired by Customer and accepted by SYSTRAN, will be the subject of a written amendment signed by both Parties.
21. Subcontracting
Customer acknowledges and accepts that SYSTRAN remains free to entrust the performance of all or part of the Services to one of its foreign subsidiaries or affiliates within the meaning of Articles L.233-1 et seq. of the Commercial Code and/or to any third party partner at SYSTRAN’s free choice.
Customer acknowledges and accepts that SYSTRAN alone determines the Subcontractors to whom it entrusts the performance of all or part of the Services, in particular according to the competencies of said Subcontractor and/or the territory in which the Subcontractor carries out its activity.
SYSTRAN remains fully responsible for the Services provided by one of its foreign affiliates or affiliates or third parties of its choice and is committed to compliance by them with the provisions of these General Terms and Conditions.
The Parties acknowledge and agree that all guarantees granted to SYSTRAN hereunder, including but not limited to those of the “Eviction Guaranteey” and “SYSTRAN exclusions of liability and guarantee” clauses, shall apply to and be binding upon the Subcontractors in the same manner.
22. Language of the General Conditions
When Customer uses the Services from France, these General Terms and Conditions are concluded in their French language version. The Parties acknowledge and agree that any version of the General Terms and Conditions in a language other than the French language communicated by SYSTRAN to Customer is for purely informational purposes and that they are only bound by the terms of the French version. The French language version must prevail in case of discrepancy between the French and translated versions in another language or in case of difficulty of interpretation of any of the terms of the General Terms and Conditions.
When Customer uses the Services from a country other than France, these General Terms and Conditions are concluded in their English language version. The Parties acknowledge and agree that any version of the General Terms and Conditions in a language other than the English language communicated by SYSTRAN to Customer is for informational purposes only and that they are bound only by the terms of the English version. The English language version shall prevail in case of discrepancy between the English and translated versions in another language or in case of any difficulty of interpretation of the terms of the General Terms and Conditions.
23. Assignment
The Parties agree that the Agreement may not be assigned or transferred, in whole or in part, in any form whatsoever, by either Party to any third party, without the prior written consent of the other Party.
24. Waiver
The fact that one of the Parties has not exercised any right or power pursuant to the provisions of these General Terms and Conditions, or has exercised it late, cannot be interpreted as a waiver to exercise all or part of this right or power, and any single or partial exercise of any right or power cannot prevent a new implementation of this right or power.
25. Independence between the Parties
The Parties hereto are legally independent of each other. Each Party shall act in its own name and on its behalf. None of the stipulations of these General Terms and Conditions can be interpreted as creating between the Parties a company, a joint venture, a mandate, a subsidiary, a relationship of agents or employees to employer, an association.
Each Party remains responsible for its acts, allegations, commitments, benefits, personal products, data. Neither Party shall be liable in any way for its acts, allegations, commitments, benefits, personal products, data.
26. Social regulation
Each Party declares that it complies with the tax and social legislation in force, that it is up to date with the payment of social contributions and that it is in a position to provide proof of compliance with the various obligations applicable in this area, at the request of another Party. Each Party shall provide to the other Parties, not more than once a year, until the end of the performance of this Agreement, the following documents:
- An identification card proving registration in the trade register or an extract from the registration in the Trade and Companies Register, dated less than three (3) months (extract K-bis);
- A certificate of provision of social declarations from the social protection body responsible for collecting social contributions and contributions which is the responsibility of the Party in question;
- An affidavit, whereby the Party certifies that it has filed with the tax administration, at the date of the affidavit, all the compulsory tax returns, and that the work will be carried out with employees regularly employed under the Labor Code.
27. Nullity
If any of the provisions of these General Terms and Conditions is declared null and void or unenforceable by reason of a law, regulation or following a final decision by a competent court, only this provision will be declared null and void, the other provisions will retain all their force and scope.
28. Notification
Unless otherwise provided, any notification to either Party required under these General Terms and Conditions shall be made by registered letter with notice of receipt at the address referred to above, or at an address specified subsequently in writing by one of the Parties to the other Party and/or by email to the addresses communicated by the Parties by any means deemed appropriate.
In the event of a change of address, each Party undertakes to inform the other Party by registered letter with acknowledgement of receipt and by email as soon as possible. Otherwise, any mail sent to the address indicated above shall be considered to have been validly received.
29. Applicable law and jurisdiction
These General Terms and Conditions are governed by French law.
In the event of any dispute as to the validity, interpretation and/or performance of the General Terms and Conditions, the Parties agree that the courts of Paris shall have exclusive jurisdiction to judge them, unless otherwise required by mandatory procedural rules.
30. Entry into force
These Terms and Conditions came into force on May 1st, 2023.
31. Provisions relating to the individual Customer
By way of derogation from the provisions of Article 1 hereof, the Individual Customer is informed that SYSTRAN acknowledges and accepts that he remains bound by any previous commitment formally entered into having the same object and that he must first terminate this commitment before concluding these General Terms and Conditions. Failing this, he acknowledges that the prior commitment will prevail over these Terms and Conditions.
31.1. Ordering Terms
When subscribing to a Subscription for an Initial Term of twelve (12) months, the Individual Customer shall be informed of the following provisions:
Article L.215-1 of the French Consumer Code: ‘For service contracts concluded for a fixed period with a tacit renewal clause, the professional service provider shall inform the consumer in writing, by personal letter or dedicated e-mail, at the earliest three months and at the latest one month before the end of the period authorizing the rejection of the renewal, of the possibility of not renewing the contract concluded with a tacit renewal clause. This information, delivered in clear and comprehensible terms, mentions, in an apparent box, the deadline for non-renewal.
Where such information has not been sent to the consumer in accordance with the provisions of the first subparagraph, the consumer may terminate the contract free of charge at any time from the date of renewal.
Advances made after the last renewal date or, in the case of contracts of indefinite duration, after the date of conversion of the initial fixed-term contract, shall in this case be repaid within 30 days of the date of termination, less the sums corresponding, until that date, to the performance of the contract.’
Article L.215-3 of the Consumer Code: “The provisions of this chapter shall also apply to contracts concluded between traders and non-traders.”
In the articles reproduced above, the term “contract” designates these General Conditions and/or the Offer to which the Customer has subscribed.
31.2. Refusal of order
In the event of a refusal of an Order placed by a Private Customer, SYSTRAN undertakes to justify this refusal by a legitimate reason within the meaning of Article L.121-11 of the Consumer Code.
31.3. Right of withdrawal
Pursuant to the provisions of Article L.221-18 of the Consumer Code, any Individual Customer has a withdrawal period for any sale of goods or services made through an online platform. The Individual Customer shall be entitled to a period of fourteen (14) working days from the date of acceptance of the Offer or any Order on the Marketplace, without having to justify any reason or pay any penalties. After this period, the Individual Customer can no longer exercise his right of withdrawal.
The Individual Customer nevertheless acknowledges and accepts that, pursuant to the provisions of Article L.211-28 of the Consumer Code, the right of withdrawal cannot be invoked against SYSTRAN in the event of a sale relating to services fulfilling one of the following situations:
- The provision of services fully performed before the end of the withdrawal period and, if the contract subjects the Individual Customer to an obligation to pay, the performance of which has begun with his prior and express agreement and with his acknowledgement of the loss of his right of withdrawal, when the service has been fully performed by the professional;
- The supply of goods produced according to the specifications of the Individual Customer or clearly personalized;
- The supply of digital content without material support, the performance of which has commenced before the end of the withdrawal period and, if the contract subjects the Individual Customer to an obligation to pay, when he has given his express prior consent for the performance of the Services to commence before the expiry of the withdrawal period, that he has acknowledged that he will lose his right of withdrawal and when the professional has provided a confirmation of the Individual Customer’s agreement in accordance with the provisions of Article L.221-13. A waiver form is attached to these General Terms and Conditions;
The Individual Customer may exercise this right by sending SYSTRAN a clear statement expressing its wish to withdraw from any subscription of Subscription. The Individual Customer may use the form attached as an appendix to these General Terms and Conditions.
In any case, the Services will be immediately suspended upon receipt of the request for withdrawal. The Individual Customer will be reimbursed as soon as possible and at the latest within fourteen (14) days from the actual receipt by SYSTRAN of the request for withdrawal, of all the sums paid for his order. In the event that the Individual Customer has begun to use the Services, the latter acknowledges and accepts that the sums already paid at the date of the withdrawal will remain vested in SYSTRAN and cannot be refunded. In the event that the Individual Customer has used all of the Number of Characters granted for the Period before the date of withdrawal, the latter will not be entitled to any refund.
31.4. Guarantees offered to the consumer
The Individual Customer benefits from the legal guarantees provided for in articles L. 217-1 and L.217-16 of the Consumer Code, as well as article 1641 of the Civil Code and the first paragraph of article 1648 of the Civil Code, which are reproduced in full below. The Individual Customer benefits from these guarantees with SYSTRAN for a subscription to a Subscription.
In the event of non-compliance with these provisions, the guarantee shall remain valid. The Individual Customer is entitled to avail himself of it.
The Individual Customer, and only him, benefits from the legal guarantee of non-conformity under the conditions of article L.217-4 et seq. of the Consumer Code according to which “the seller is obliged to deliver a good in conformity with the contract and responds to the defects of conformity resulting from the packaging, the instructions of assembly or the installation when this was placed at his expense by the contract or was carried out under his responsibility”.
It is stated that, according to the provisions of Article L.217-5 of the Consumer Code, ‘The goods are in conformity with the contract:
(1) if it is suitable for the usual intended use of similar property and, where applicable:
- it corresponds to the description given by the seller and possesses the qualities which the seller has presented to the buyer in the form of a sample or model;
- It has the qualities which a buyer may legitimately expect in view of the public statements made by the seller, the producer or his representative, in particular in advertising or labeling;
(2) or if it has the characteristics defined by mutual agreement of the parties or is suitable for any special use sought by the buyer, brought to the seller’s notice and accepted by the latter’.
According to the terms of article L.217-12 of the Consumer Code, the Customer is informed that “the action resulting from the lack of conformity is prescribed by two years from the delivery of the good”.
SYSTRAN is also bound by the hidden defects of the thing sold under the conditions laid down in Article 1641 of the Civil Code, according to which ‘the seller is bound by the guarantee in respect of the hidden defects of the thing sold which render it unfit for the use for which it is intended, or which so diminish that use that the buyer would not have acquired it, or would have given it only a lower price, if they had known them’.
The Individual Customer is informed that according to Article 1648 of the Civil Code, “the action resulting from the redhibitory defects must be brought by the purchaser within two years from the discovery of the defect”. If the Individual Customer decides to implement the guarantee against hidden defects of the product or service sold, he can choose between the resolution of the Sale or a reduction of the sale price in accordance with article 1644 of the Civil Code.
It is recalled that, when acting as a legal guarantee of conformity, every consumer:
- has a period of two (2) years from the issuance of the property to act;
- may choose between repair or replacement of the goods, subject to the cost conditions laid down in Article L. 217-4 of the Consumer Code;
- shall be exempt from providing evidence of the existence of the lack of conformity of the goods.
It is also recalled that the legal guarantee of conformity applies independently of any commercial guarantee that may be granted.
31.5. Mediation
In the event of a dispute relating to these General Terms and Conditions, the Individual Customer who uses the Services outside of any professional activity and for his private needs only, has the option of using a consumer ombudsman free of charge in accordance with the provisions of Article L.612-1 of the Consumer Code, and this, before bringing any action before the competent courts. This option is not available to the Professional Customer.

In the event of failure to appoint the mediator or the mediation itself, the most diligent Party may refer the matter to the competent court in accordance with the provisions of the article below.
31.6. Applicable law and jurisdiction
The Individual Customer may bring proceedings before one of the courts having territorial jurisdiction under the Code of Civil Procedure or the court of the place where he remained at the time of conclusion of the contract or the occurrence of the harmful event, in accordance with the provisions of Article R.631-3 of the Code.
