1. Purpose of the General Terms and Conditions<\/h2>\n

SYSTRAN SAS develops and distributes multilingual machine translation solutions made available in a SaaS mode through a platform accessible at https:\/\/www.systran.net. It offers its enterprise customers to give access to their internal users to the Platform, allowing them to access the translation solutions, as well as various tools of configuration and administration of the Platform.
\nThe purpose of these General Terms and Conditions is to set out the terms and conditions under which SYSTRAN allows Customer to access the Services, as well as to define the rights and obligations of each in this context. They are in full effect unless amended by SYSTRAN Translate Enterprise Specific Conditions (\u201cSpecific Conditions\u201d).

\n\"\u30b5\u30fc\u30d3\u30b9<\/strong>\u201d means the services to provide a multilingual instant translation tool, to integrate the tool into Customer\u2019s sites via the API, to access a management console and finally to access the Catalog.

4. SYSTRAN\u304c\u63d0\u4f9b\u3059\u308b\u30b5\u30fc\u30d3\u30b9<\/h2>\n

SYSTRAN\u306f\u3001\u672c\u30b5\u30fc\u30d3\u30b9\u306b\u8a18\u8f09\u3055\u308c\u305f\u6761\u4ef6\u306b\u57fa\u3065\u304d\u3001\u3059\u3079\u3066\u306e\u304a\u5ba2\u69d8\u306b\u4ee5\u4e0b\u306e\u30b5\u30fc\u30d3\u30b9\u3078\u306e\u30a2\u30af\u30bb\u30b9\u3092\u63d0\u4f9b\u3057\u307e\u3059\u3002<\/p>\n

4.1. \u30b5\u30fc\u30d3\u30b9\u7ba1\u7406\u30b3\u30f3\u30bd\u30fc\u30eb\u3078\u306e\u30a2\u30af\u30bb\u30b9<\/strong><\/h3>\n

SYSTRAN provides Customer with a tool for managing the Services purchased. This tool is accessible on the Platform from the Account of Users. This tool allows to have a global view of all the Services and the number of Users, to manage its Number of Characters, the Models usage, and the authorizations to access the different Services.<\/p>\n

4.2\u7ffb\u8a33\u30c4\u30fc\u30eb\u3078\u306e\u30a2\u30af\u30bb\u30b9<\/strong><\/h3>\n

SYSTRAN provides Customer with a multilingual instant translation tool. Users access the Platform at his own choice via direct access to the web interface of the Platform, via API or via software components made available by SYSTRAN on his Platform and\/or on partner application stores.
\n\u304a\u5ba2\u69d8\u304cAPI\u3092\u901a\u3058\u3066\u672c\u30b5\u30fc\u30d3\u30b9\u306b\u30a2\u30af\u30bb\u30b9\u3059\u308b\u5834\u5408\u3001SYSTRAN\u306f\u3001\u304a\u5ba2\u69d8\u306bAPI\u306b\u30a2\u30af\u30bb\u30b9\u3057\u3066\u4f7f\u7528\u3059\u308b\u305f\u3081\u306e\u500b\u4eba\u756a\u53f7\u3092\u63d0\u4f9b\u3057\u307e\u3059\u3002\u5f7c\u306f\u3001API\u3092\u72ec\u81ea\u306e\u30a2\u30d7\u30ea\u30b1\u30fc\u30b7\u30e7\u30f3\u3084\u30c4\u30fc\u30eb\u306b\u5b9f\u88c5\u3057\u3001\u30b7\u30b9\u30c6\u30e0\u3092\u69cb\u6210\u3059\u308b\u8cac\u4efb\u3092\u5358\u72ec\u3067\u8ca0\u3063\u3066\u3044\u308b\u3053\u3068\u3092\u8a8d\u3081\u3066\u3044\u307e\u3059\u3002\u7279\u306b\u3001\u60c5\u5831\u30b7\u30b9\u30c6\u30e0\u3068\u30d3\u30b8\u30cd\u30b9\u30a2\u30d7\u30ea\u30b1\u30fc\u30b7\u30e7\u30f3\u306eAPI\u306e\u4ed5\u69d8\u3068\u306e\u4e92\u63db\u6027\u3092\u691c\u8a3c\u3059\u308b\u8cac\u4efb\u306f\u3001API\u304c\u5358\u72ec\u3067\u8ca0\u3046\u3053\u3068\u3092\u8a8d\u3081\u3066\u3044\u307e\u3059\u3002SYSTRAN\u306f\u3001\u3053\u308c\u3089\u306e\u30b7\u30b9\u30c6\u30e0\u3084\u30a2\u30d7\u30ea\u30b1\u30fc\u30b7\u30e7\u30f3\u304cAPI\u3068\u4e92\u63db\u6027\u304c\u306a\u3044\u3053\u3068\u306b\u5bfe\u3057\u3066\u8cac\u4efb\u3092\u8ca0\u3044\u307e\u305b\u3093\u3002
\nCustomer shall have access to all Services described in the Order.
\nIn addition, Customer acknowledges that use of the Services is limited to the Number of Characters granted to Customer in the Order, and that the Number of Characters is granted as a whole for all Users and API usage for a period of one year. Customer acknowledges that once the Number of Characters limit has been reached during this one year period, the Users may no longer access the Services until the end of the period. To continue using the Services, Customer must increase the Number of Characters with an additional order. Customer also acknowledge that if the Number of Characters has not been fully used in a given one year period, the unused fraction is not carried forward to subsequent periods, nor redeemed by SYSTRAN.

6. Obligations of the Customer<\/h2>\n

6.1. Acceptance of Terms and Conditions<\/strong><\/h3>\n

By subscribing to the Services, Customer declares that he has read these General Terms and Conditions and expressly accept them.
\nThis acceptance can only be full and complete, except for terms and conditions modified in the Specific Conditions.
\nCustomer acknowledges and agrees that access to the Services is non-exclusive, SYSTRAN remaining free to provide the Services to any other third party of its choice, without limitation of any kind.<\/p>\n

6.2. Strictly personal use<\/strong><\/h3>\n

Customer is authorized to give access and create Accounts for its employees and the employees of its Affiliates, to the exclusion of any other third party. Affiliates means entities for which Customer owns the majority of the capital or has the power to enforce decisions. Customer acknowledges and accepts as such that the employees of its Affiliates are considered as Users within the meaning of this Agreement in the same way as their own staff and that Customer is solely responsible for the compliance by the latter with the terms of this Agreement.
\nCustomer acknowledges and agrees that only one Account may be created by a User authorized to access the Services.
\nCustomer agrees, on behalf of itself and\/or its personnel and\/or the personnel of its Affiliates authorized to access the Services, that each User will use the Services personally, and that no third party will use them in their place or on their own behalf, except to assume full responsibility. Customer is solely responsible for the proper use of the Services and the Management Console by its personnel or the personnel of its Affiliates in compliance with these terms.
\nCustomer acknowledges that each User is otherwise responsible for maintaining the confidentiality of his login and password. Under no circumstances will SYSTRAN be liable for the fraudulent use of the Management Console and\/or the Services by an unauthorized third party accessing it through the identifiers and password of a Customer User.
\nShould Customer become aware that its Management Console is or has been used without Customer\u2019s knowledge, Customer undertakes to notify SYSTRAN as soon as possible at the following address:\u00a0contact@systrangroup.com<\/a>.<\/p>\n

6.3. Internal Use<\/strong><\/h3>\n

Customer acknowledges that the use of the Services is strictly for the exercise of its professional activity and, as such, that Users may use the Services only for that purpose. It is prohibited to market and\/or grant a right of access to the Services to third parties, and in particular to Customer\u2019s own customers.<\/p>\n

6.4. Ordering Services<\/strong><\/h3>\n

A customer who wishes to subscribe to a Subscription must sign a valid Order describing the content and limitations of the Services, that must be accepted by SYSTRAN.
\nSYSTRAN reserves the right not to give a positive response to an order, at its discretion, and in particular in the following cases:<\/p>\n
